PERMITTED USERS

This Website is intended for users over 18 years of age or older. By accessing or using this Website, you represent and warrant that you meet this age eligibility requirement. If you do not meet this requirement, you must not access or use the Website or Company Content. Additional use requirements may be presented for different account types, as detailed below. 

MEDICAL OFFICE SPACE LISTINGS

The purpose of the Website is to list medical office spaces that are available for lease or sublease (“Listings”). Anyone who accesses the Website will be able to see the Listings, but certain information may be private until an account is created. Account options are outlined below. 

ACCOUNT TYPES

The Website allows users to establish two types of accounts related to Listings (as defined herein): (i) Listers, and/or (ii) Renters. The following terms apply to each account type and individually created account. You are responsible for ensuring that your login information remains private. If Company suspects that your login credentials have been shared with a third party or compromised, Company reserves the right to revoke your access to your account

It is not necessary to register for an account to browse publicly available content on the Website; however, accounts will be required certain actions among the Website and/or Company Content.

Lister Accounts

On the Website, if you wish to submit a Listing, you must establish a lister (“Lister”) account. Please note that Lister accounts are free, but each Listing incurs a fee, subject to the purchase policies below. By establishing a Lister account, you acknowledge and agree to: 

  • Ensure you (or your business) comply with all applicable laws and regulations.
  • Ensure you (or your business) have the right to lease/sublet the property in the Listing.
  • List only spaces zoned for medical offices.
  • Provide truthful information about the rental property, following any rental guidelines.
  • Be fully responsible for vetting potential Renters.
  • Pay all fees associated with your Listings.
  • Hold the Company harmless for any transactions or inquiries with potential Renters.

Obtain a written lease/sublease agreement for any rental arrangement.

Collaborate with Renters to address HIPAA or other patient care considerations.

Renter Accounts

To obtain contact information for a Listing on the Website, you must establish a renter (“Renter”) account. These accounts are free to establish, and by creating one, you agree to: 

  • Ensure you (or your business) comply with all applicable laws and regulations.
  • Ensure you (or your business) have the right to enter a lease for any listed property.
  • Provide truthful information to the Lister.
  • Be fully responsible for vetting potential Listings; the Company is not responsible for the accuracy of any Listing.
  • Hold the Company harmless for any transactions or inquiries related to a Listing.
  • Obtain a written lease/sublease agreement for any rental arrangement. 

PURCHASE POLICIES

These purchase policies (“Purchase Policies”) apply to any paid products or services (“Purchase Item(s)”), such as Listings, that may be purchased through the Website. 

BY PURCHASING ANY SUCH PURCHASE ITEM(S) FROM THE WEBSITE, YOU AFFIRM THAT YOU: 

  1. ARE OF LEGAL AGE TO MAKE THE PURCHASE; 
  2. THAT YOU MEET ANY AND ALL ELIGIBILITY REQUIREMENTS; AND
  3. YOU AGREE TO COMPANY’S TERMS, INCLUDING THESE PURCHASE POLICIES.

Order Acceptance and Cancellation

By creating a Listing on the Website, you are entering a transaction considered an offer to buy from Company, under the terms set forth in these Purchase Policies, the Purchase Items listed in your order. Company may review your order and determine, in Company’s sole and absolute discretion, whether or not to accept it. Company is not obligated to accept any order or Listing.

Company reserves the right, but is not obligated to, limit the sale of Purchase Items to any person, geographic region, or jurisdiction. Company may exercise this right on a case-by-case basis. Company may exercise its right to reject your order, even if you have received confirmation of the purchase. In such circumstances, you will be refunded for any payments made at the time you submitted your order.

Company reserves the right to limit quantities of Purchase Items available for purchase, even if such Purchase Items are available digitally.

Purchaser Eligibility

The Purchase Items are available to individuals over the age of 18 who have established a Lister account and meet all eligibility criteria, whether required by Company and/or applicable laws and regulations. By establishing a Lister account, you agree that you agree to the terms stated above for Lister accounts and any Purchase Policies related to your purchase of any Purchase Items. 

If Company becomes aware that you have submitted an order to purchase the Purchase Items in violation of these eligibility requirements, Company will immediately reject your order and/or terminate your Listing(s) and/or Lister account. 

Prices

All prices listed on the Website are subject to change without notice. The price you will be charged will be the price in effect at the time you submit Listing and will continue until you remove your Listing. Any applicable sales tax or other charges are the responsibility of you as the purchaser of the Purchase Items, and such taxes or other charges will be added to your total before the purchase is completed.

Company strives to ensure that all information displayed on the Website related to the Purchase Items is accurate, including pricing, availability, and product/service descriptions. In the event that Company discovers an error in any Purchase Item information, including pricing, Company reserves the right to make corrections to any inaccuracies or incorrect information. Company reserves the right to cancel orders for Purchase Items that contain errors.

Payments

Unless otherwise stated, payments are due and will be collected at the time you place your order. Company will collect all payments through the Website, which are processed through Company’s payment processor. All acceptable methods of payment will be listed at the time of purchase.

By purchasing any Purchase Item(s), you agree to pay the total amount due and authorize Company, through its payment processor, to charge your payment method under the payment method you choose for the amount listed. By entering the payment information, you represent (i) that all payment information is true and accurate, (ii) that you are authorized to use the payment method, and (iii) all charges you incur will be honored by your payment method.

Automatic Payments

Listings are billed to the Lister on a set billing term, which is set at the time you purchase the Purchase Items. Purchasing a Listing will enroll you in automatic payments for that Listing, for which you will place a credit card on file and provide authorization for the payment processor to collect initial and future payments on Company’s behalf. ALL LISTINGS WILL CONTINUE WITH AUTOMATIC PAYMENTS UNTIL THE LISTER REMOVES THE LISTING FROM THEIR ACCOUNT. 

Your account will automatically renew at the conclusion of each billing term. You agree that Company may submit periodic charges (e.g., every month or quarter, depending on your selected billing term) to your chosen payment method without further authorization from you until you provide prior notice that you wish to terminate this authorization or to change your payment method. You agree that such notice will not affect charges submitted before Company reasonably could act. By purchasing a Listing, you agree and acknowledge that each Listing has an initial and recurring payment charge at the subscription rate, and you accept responsibility for all recurring charges prior to cancellation. Your Listing will be automatically renewed for successive periods and your payment method will automatically be charged for each successive period at the rate established at the time of your purchase for that Listing until you cancel your Listing. You understand that failure to cancel according to the cancellation policies below will result in the nonrefundable renewal of your subscription.

PLEASE NOTE THAT THE PRICE OF LISTINGS MAY CHANGE FROM TIME TO TIME, AND YOU ACKNOWLEDGE THAT YOU MAY BE CHARGED DIFFERENT RATES FOR LISTINGS PURCHASED AT DIFFERENT TIMES WITHOUT PRIOR NOTICE. 

You agree that you will be responsible for making all payments due on the schedule indicated. You are solely responsible for ensuring that your payment method is up-to-date and error-free. If Company is unable to collect a payment when it is due, you will be notified and responsible for immediately updating your payment method so that the payment may be collected. During this time, any active Listings on your account will be deactivated until a new payment method is established. 

Price Changes

Company reserves the right to update the prices of its Listings at any time without notice to you. You will be charged the current price of a Listing at the time the purchase is submitted. 

Cancellation of Listing

You may cancel your Listing at any time; however, no refunds will be authorized after fees have been charged. To avoid incurring additional fees, you must cancel the Listing prior to the next billing date. To cancel, you must visit the dashboard in your Lister account, where you may remove the Listing. 

Refunds on Paid Listing Fees

There are no refunds for any Listing fees; however, you are eligible to cancel your Listing at any time before your next billing cycle. 

If you live in a jurisdiction that has regulations regarding refunds that conflict with these Purchase Policies, Company will honor the regulations of the jurisdiction, if applicable, to the type of purchase you have made upon you providing the following:

  1. Proof of residency (proof of domicile if a business entity;
  2. Reference to the governing regulation; and
  3. Written notice of the refund request.

You agree that you have reviewed the applicable refund policies and will not file any disputes or request chargebacks through your credit card issuer. If you do, this refund policy will be provided to demonstrate your awareness of the policy in Company’s defense against the request.

Discounts

Occasionally, Company may offer discounts on its Purchase Items. Such discounts are offered in Company’s sole and absolute discretion. Company reserves the right to limit discounts to particular time periods or particular Purchase Items. Discounts may be available for a limited time. After the expiration of a discount offer, Company will not honor the past discount.

Company will not offer refunds for failure to apply a discount at the time of purchase. Additionally, Company does not offer price adjustments for discounts offered after the time of purchase.

License related to the Purchase Items

Company is the creator and owner of the Company Content; however, Listers are the owner of any content they contribute for a Listing. Such content is submitted to us subject to the grant of rights described in these Terms. Company reserves the right to utilize any Listing information, including photos you submit, for marketing purposes. Lister agrees to hold Company harmless from any and all claims of ownership, accuracy or otherwise, made related to the content of a Listing submitted by Lister.

Communication Rules

If you hold a Renter account, you will receive the opportunity to obtain contact information for Listers so that you may inquire about Listings. You agree that all communications submitted will be made outside of the Website. While Company is not responsible for such communications, Renter agrees to follow all Community Guidelines, which are outlined below. 

Listers agree to follow the Community Guidelines when responding to any inquiries about a Listing. 

Company’s sole discretion will be used to determine if you violate these Community Guidelines. Company reserves the right to terminate any Renter account for not following the Community Guidelines. 

Community Guidelines

The “Community Guidelines” are as follows:

  • You will treat one another, and all representatives of Company, with courtesy and respect.
  • Any communications related to Listings from the Website should not include:
    • profanity; 
    • harassment directed any recipient of the communication;
    • Spam;
    • Bullying; 
    • hate speech; 
    • sexually explicit material; 
    • defamatory statements regarding Company or any third party;
    • references to illegal acts; 
    • contributions that may violate the legal rights of a third party;
    • any other content that Company deems is inappropriate; or
    • any content that violates any applicable law or regulation.

Any Lister or Renter may report another member for failing to comply with these Community Guidelines. Company reserves the right to terminate any account based on a failure to comply with the Community Guidelines.

Testimonials

If you provide Company with a testimonial regarding your experience with the Purchase Items, you grant us the right to publish the testimonial for marketing purposes. If you provide it with your testimonial content, this includes the right for us to use your name and likeness.

Purchase Item Language

Unless otherwise stated, all rental Listings are offered in English. Company is not responsible for offering translations. Company cannot guarantee that translation tools will accurately translate the content of the listing.

Email Communication

If you establish an account through the Website, you will enter your email address. You agree that we may email you regarding your account and/or your access and use to the Website and Company Content. You may also be added to our mailing list to receive additional information about our products and services. You may unsubscribe at any time.

Termination

Company reserves the right to terminate your access to the Purchase Items or Website at any time in its sole discretion. Company may terminate a Listing at any time, in its sole discretion, if Company has deemed that it violates the Terms, Purchase Policies, Community Guidelines, or other policy.

Property Listing Content and Accuracy

All property details, descriptions, images, and other listing content on LinkMedicalSpaces.com are provided directly by the lister (the property owner or their authorized representative). By submitting a listing, the lister affirms that the information provided is accurate and lawful.

Link Medical Spaces LLC reserves the right to reject at its discretion listings it considers unclear or incompatible with its platform. Such Listings are eligible for reconsideration following any corrective edits or revisions. Link Medical Spaces LLC does not independently verify the accuracy, condition, availability, legal status, or ownership of any property, and the sole responsibility to do so falls to each user in accessing and utilizing the platform.

Link Medical Spaces LLC assumes no responsibility or liability for errors, omissions, or misrepresentations in the listing content. All users are strongly encouraged to conduct their own due diligence, confirm listing details with the lister directly, and seek legal or professional real estate advice when necessary.

NO BROKERAGE OR AGENCY RELATIONSHIP 

Link Medical Spaces LLC (“Company”) operates solely as an online advertising venue for property owners, landlords, tenants, and interested parties to share and discover available medical office spaces.

The Platform does not act as a real estate broker, agent, or intermediary. Link Medical Spaces does not:

  • Represent any party in real estate transactions;
  • Negotiate or facilitate sales, leases, or other agreements between users;
  • Communicate or present offers or counteroffers on behalf of any party;
  • Provide brokerage, valuation, or real estate advisory services; or
  • Earn commissions or compensation based on the completion or success of any real estate transaction.

The Company operates solely as an advertiser and does not engage in any activities that would require a real estate license. The Company is not a real estate agent, broker, or any other type of real estate professional. As such, the Company does not hold, nor is it required to hold, a real estate license similar to those held by real estate agents, brokers, or other real estate professionals.

The Company’s role is limited to providing advertising services for real estate listings and related content. All negotiations, agreements, and transactions arising from use of the Platform are the sole responsibility of the involved parties. Users are encouraged to consult licensed real estate professionals and attorneys to ensure compliance with applicable laws and contractual obligations.

Limitation of Liability 

The Platform assumes no responsibility or liability for disputes arising between property owners, agents, tenants, or other users, including but not limited to issues related to exclusive agency agreements, misrepresentation, or contract enforcement.

Respect for Exclusive Listing Agreements

Link Medical Spaces LLC acknowledges and respects the contractual relationships between property owners and their designated real estate brokers or agents. The act of advertising a property on LinkMedicalSpaces.com does not alter, override, or negate any exclusive listing agreements that property owners may have with their licensed agents or brokers. Property owners are solely responsible for ensuring compliance with the terms of any such agreements. It is imperative that property owners review and adhere to all contractual obligations with their brokers to avoid any potential legal disputes.

Listing Agent Compensation

In the event that a property owner has entered into an exclusive listing agreement with  listing agent, including but not limited any real estate agent or broker, the listing agent remains entitled to any agreed-upon commission or compensation as specified in their contract with the property owner. Link Medical Spaces does not participate in, interfere with, or influence commission agreements, nor does the platform earn commissions from property transactions. Property owners must ensure that all commission agreements are honored in full. Failure to comply with these agreements may result in legal action from the listing agent or broker.

Irrespective of and in addition to any listing agent compensation, Link Medical Spaces LLC shall be entitled to any and all fees and costs owed to Link Medical Spaces LLC, including but not limited to advertising and/or listing fees, service fees, and de-listing fees.

Affirmation of Obligations

By using this platform, property owners affirm that they understand and acknowledge their obligation to honor all existing agreements with their real estate agents, including the payment of any commissions upon successful sale or lease of the listed property. Property owners are advised to consult with their legal advisors to ensure compliance with all contractual obligations. This affirmation serves as a reminder of the legal responsibilities that accompany the use of this platform and the listing of properties.

USE OF AI-ASSISTED TOOLS

Link Medical Spaces LLC may offer features that incorporate artificial intelligence (AI) to assist users in creating or enhancing property listings and related content. These tools—including but not limited to auto-generated property descriptions—are provided to support users in marketing their listings more effectively.

By using AI-assisted tools on the platform, you acknowledge and agree to the following:

  1. User Responsibility for Accuracy While AI-generated content may be based on the information you provide, you remain solely responsible for reviewing, verifying, and approving all content before it is published. Link Medical Spaces does not independently verify listing content and assumes no responsibility for its accuracy, completeness, or suitability for any particular use.
  1. No Warranties or Guarantees AI-assisted content is generated algorithmically and may not always be complete, accurate, or error-free. Link Medical Spaces makes no representations or warranties regarding the performance, reliability, or outcomes of any AI-generated content.
  1. No Broker or Advisory Role The use of AI-generated content does not constitute legal, financial, or real estate advice, nor does it establish a broker-client or agency relationship between you and Link Medical Spaces LLC.
  1. User Licensing and Rights By submitting information for AI-assisted generation, you grant Link Medical Spaces a limited license to process that content and display the generated results for listing purposes. You confirm that you have the legal right to use and submit all input data provided.
  1. Right to Modify or Discontinue Tools Link Medical Spaces reserves the right to modify, suspend, or discontinue any AI-assisted tools or features at any time without notice.

USE OF THE WEBSITE

Unless otherwise stated, Company owns the intellectual property and rights to all Company Content and the Website. Subject to the license below, all intellectual property rights are reserved.

If you send Company an email, register to use the Website, or provide your email to Company in any other way, you consent to receive communications from Company electronically. You agree that all legal notices provided via electronic means from Company satisfy any requirement for written notice.

MONITORING AND ENFORCEMENT

INDEMNITY

You agree to defend, indemnify and hold Company, its members, employees, officers, directors, managers, and agents harmless from and against any and all losses, claims, suits, actions, liabilities, obligations, costs, and expenses (including reasonable attorneys’ fees and expenses) which Company suffers as a result of third-party claims based on: (i) your negligence or intentional misconduct, (ii) your breach of any provision of the Terms (including representation or warranty); (iii) materials prepared or provided by you including, but not limited to, any claims of infringement, or misappropriation of copyright, trademark, patent, trade secret, or other intellectual property or proprietary right, infringement of the rights of privacy or publicity, or defamation or libel; or (iv) death, personal injury, or property damage arising out of, or relating to, your obligations hereunder.

ARBITRATION

The Terms will be governed and construed in accordance with the laws of the State of Florida. Any controversy or claim arising out of or relating to the Terms, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The place of any such arbitration shall be in Orange County, Florida. The parties also agree that the AAA Optional Rules for Emergency Measures of Protection shall apply to the proceedings.

MISCELLANEOUS PROVISIONS

If any provision(s) of the Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall be severable and enforceable. If a provision is excessively broad, such a provision shall be limited or reduced in scope so as to be enforceable.

The Terms may not be assigned by you without Company’s prior written consent; however, the Terms may be assigned by Company in its sole discretion.

 The Terms are the final, complete, and exclusive agreement of the parties with respect to the Website offered by Company; however, Company may make modifications as stated above.
